Terms and Conditions

1. Scope
These General Terms and Conditions apply to all contracts between

(hereinafter “Provider”)
and the users of the website https://lapicida-latinus.de and the Lapicida Latinus app (hereinafter “Users”).
Any deviating or supplementary terms and conditions of the User shall not be recognized unless the Provider has expressly agreed to their validity in writing.
2. Scope of Services
2.1 Free Version (Freemium)
The Lapicida Latinus app is available in a free basic version. The functionality of the freemium version is limited. An overview of the unlocked content can be viewed at https://lapicida-latinus.com/en/shop/lapicida-latinus-full-version/.
2.2 Full Version — Individual Users
The full version unlocks all content and features of the app. It is available in the following plans:
- Monthly subscription: cancellable monthly
- Annual subscription: cancellable annually (12-month term)
- Lifetime license: one-time payment, unlimited usage period
The full version is valid for use on up to 3 devices belonging to the same user (cloud sync included).
2.3 Class License — Schools and Educational Institutions
Classroom licenses are available for use in the classroom. A classroom license is valid for up to 25 students in a class.

2.4 Availability
The provider endeavors to keep the services available at all times. There is no guarantee of uninterrupted availability. Scheduled maintenance will be announced whenever possible.
3. Conclusion of Contract
3.1 Ordering Process
By clicking the “Buy Now” or “Subscribe” button, the user submits a binding offer to enter into a purchase agreement. The product page does not constitute an offer.
3.2 Acceptance
The contract is concluded when the Provider accepts the order by sending an order confirmation via email or immediately activates the service.
3.3 Contract Language
The language of the contract is German.
4. Prices and Payment
4.1 Prices
All prices are quoted in euros and are final prices, including applicable value-added tax.

4.2 Payment Methods
Payment can be made via:
- PayPal
- Credit card (via Stripe)
- Purchase on account (for schools and educational institutions only)
4.3 Due Date
For subscriptions, payment is due at the beginning of each billing period. For lifetime licenses and class licenses, payment is due immediately upon signing the contract.
4.4 Upgrade Credit
If a user switches from a monthly to an annual subscription, any months already paid for will be credited proportionally toward the annual price.
5. Subscription and Cancellation
5.1 Term and Renewal
- Monthly Subscription: Runs on a monthly basis. Automatically renews for an additional month unless canceled in a timely manner.
- Annual Subscription: Runs for 12 months. Automatically renews for another 12 months unless canceled in a timely manner.
5.2 Cancellation by the User
The subscription can be canceled at any time effective at the end of the current billing period. Cancellation can be done through the user account on the website or by email to andreas@lapicida-latinus.de.
After the paid period expires, the full version will be downgraded to the freemium version. User data will be retained.
5.3 Termination by the Provider
The provider may terminate the subscription with 30 days’ notice effective at the end of the month, particularly if a user violates these Terms and Conditions or applicable law. In the event of extraordinary termination by the provider, the prorated amount for the unused period will be refunded.
5.4 Lifetime License
The lifetime license is non-cancellable and remains valid for the entire operational lifespan of the app. Should the service be discontinued, the Provider will notify users with at least 3 months’ advance notice.
6. Right of Withdrawal
6.1 Right of Withdrawal for Consumers
Consumers (natural persons who enter into the contract for a purpose that is predominantly neither commercial nor related to their self-employed professional activity) generally have a right of withdrawal of 14 days from the conclusion of the contract.
6.2 Expiration of the Right of Withdrawal for Digital Content
The right of withdrawal expires prematurely if, at the time of purchase, the user expressly agreed that delivery of the digital content would begin immediately upon conclusion of the contract and confirmed their awareness that they would thereby lose their right of withdrawal (Section 356(5) of the German Civil Code (BGB)).
This consent is obtained via a checkbox during the ordering process.
6.3 Exclusion for Business Customers
Schools, educational institutions, and other businesses have no right of withdrawal.
6.4 Cancellation Form
If you wish to exercise your right of withdrawal (provided it has not expired), you may do so informally by sending an email to andreas@lapicida-latinus.de. Please include your name, address, order number, and the date of the order.
7. Rights of Use
7.1 Grant of License
Upon purchasing a full-version license, the user receives a non-exclusive, non-transferable right to use the app and the unlocked content for personal, non-commercial use.
For classroom licenses, the right of use applies to educational use within the licensed learning group.
7.2 Copyright
All content on the app and website—in particular texts, exercises, graphics, source code, and database structures—is protected by copyright and remains the property of the provider.
7.3 Prohibited Use
It is prohibited to:
- Copy, reproduce, or redistribute content from the app
- Decompiling, disassembling, or otherwise reverse-engineering the app
- To use the app for commercial purposes without express written permission
- To disclose login credentials to third parties
8. User Obligations
The user is obligated to keep their login credentials confidential and protect them from access by third parties. If misuse is suspected, the provider must be notified immediately.
The user is responsible for all activities carried out under their account.
9. Warranty
For defects in digital products, the statutory warranty under §§ 327 et seq. of the German Civil Code (BGB) applies. The warranty period is 2 years from the date the digital content is made available.
The provider will remedy defects that significantly impair the usability of the app within a reasonable period of time.
10. Limitation of Liability
10.1 Liability for Damages
The Provider bears unlimited liability for damages resulting from injury to life, limb, or health, as well as for damages caused by the Provider’s willful misconduct or gross negligence.
10.2 Limitation of Liability for Simple Negligence
In cases of ordinary negligence, the Provider is liable only for a breach of a material contractual obligation (cardinal obligation), and such liability is limited to the foreseeable damages typical for this type of contract.
10.3 No Liability for Learning Success
The Provider does not guarantee any specific learning success. The app is a learning aid; learning success depends on numerous individual factors.
11. Changes to the Terms and Conditions and Prices
11.1 Changes to the Terms and Conditions
The Provider reserves the right to amend these Terms and Conditions with 30 days’ notice. The changes will be communicated via email or through the app. If the User does not object to the amended Terms and Conditions within 30 days of receiving the notice, the new Terms and Conditions shall be deemed accepted.
11.2 Price Changes
Price increases for existing subscriptions will be communicated at least 30 days before the next billing period. In this case, the user may cancel the subscription at the end of the current billing period.

13. Dispute Resolution
Consumers can find information on alternative dispute resolution (ADR) at the European Consumer Centre Germany:

We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
14. Governing Law and Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
For merchants and legal entities under public law, the place of jurisdiction is Bremen. For consumers, the statutory provisions governing jurisdiction apply.
15. Severability Clause
Should any individual provisions of these Terms and Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
